Introduction

These terms govern your use of ginkgo-air.com, operated by Ginkgo Sustainability Inc. (“Ginkgo”, “we”, “us”). By using the site or downloading anything from it, you agree to them. If you do not agree, do not use the site.

These terms cover the website only. They do not cover the purchase, installation, warranty, or operation of Ginkgo hardware, which is governed by the sales agreement and warranty terms issued with each order.

What this site is

The site provides product information, technical documentation, and downloadable design assets for architecture, design, and engineering professionals. You cannot buy anything on this site. Pricing and availability are handled through direct quotation.

Quote requests

When you submit a quote request, you are asking us to prepare a proposal. Nothing on this site is an offer to sell, and submitting a request does not create a contract, reserve inventory, or lock in a price.

A quote we issue in response is valid for the period stated on it. Specifications, lead times, and pricing described anywhere on this site may change without notice and do not bind us. Where the site and a written quote disagree, the quote governs.

Asset library licence

This section applies to 3D models, CAD files, drawings, specification sheets, and any other design asset you download from us.

What you may do.

We grant you a non-exclusive, royalty-free, worldwide licence to use these assets to design, visualise, document, and specify projects that incorporate Ginkgo products. That includes using them in your drawing sets, renderings, BIM models, client presentations, and construction documents. You may modify geometry to suit your drawing standards and share the files internally within your firm and with your project consultants and clients for that project.

What you may not do.

  • Redistribute the assets as standalone files, including on model libraries, marketplaces, or file-sharing sites
  • Sell, licence, or rent the assets, whether modified or not
  • Use the assets in a product that competes with a Ginkgo product, or to develop one
  • Reverse engineer the assets to derive manufacturing geometry, tolerances, or internal construction
  • Remove or alter any Ginkgo identification, metadata, or attribution embedded in the files
  • Use the assets to represent a non-Ginkgo product, or to suggest a project uses Ginkgo products when it does not

Accuracy.

We build these assets to reflect published product dimensions at the time of release. Products change. Before you rely on a model for setting out, clearances, structural coordination, fixing points, service connections, or any dimension that drives a construction decision, confirm it against the current specification sheet or with us directly. We are not liable for design, fabrication, or construction costs arising from reliance on an asset that has been superseded or that contains an error. If you find a discrepancy, tell us at j.ferguson@ginkgosustainability.com and we will correct it.

Term.

This licence continues for as long as you comply with it. If you breach it, the licence ends. Ending it does not require you to destroy assets already incorporated into completed project documentation, but you must stop using them going forward.

We may revise, replace, or withdraw any asset at any time. We are not obliged to keep older versions available.

Acceptable use

Do not:

  • Scrape, crawl, or bulk download the site or the asset library by automated means
  • Circumvent access controls, rate limits, or authentication
  • Probe, scan, or test the security of the site
  • Interfere with the site’s operation or load it in a way intended to degrade service for others
  • Use the site to transmit malware or unlawful material
  • Misrepresent who you are when requesting assets or quotes

We may restrict or terminate your access, without notice, if you do any of this.

Our intellectual property

The site, its text, images, renderings, video, product photography, drawings, software, and layout are owned by Ginkgo or our licensors and are protected by copyright. The Ginkgo name, the Ginkgoair name, product names, and our logos are our trademarks. Nothing in these terms grants you a right to use them except as the asset licence above expressly allows.

You may reproduce short extracts of site content for internal evaluation or specification purposes with attribution. Anything more requires our written permission.

What you send us

If you send us feedback, format requests, feature suggestions, or comments about our products, we may use them without restriction, attribution, or payment. Do not send us anything you consider confidential or want to keep control of. This does not apply to your personal information, which is handled under our Privacy Policy, or to confidential project information exchanged under a separate written agreement.

Third party links

We link to standards bodies, test laboratories, distributors, and other external sites. We do not control them and are not responsible for their content or their privacy practices.

Disclaimers

The site and the assets are provided as they are. We do not warrant that the site will be uninterrupted, that content is current or error-free, or that files are free of defects.

Technical claims, performance figures, and test data on this site describe results obtained under specified test conditions. Actual performance in your project depends on room volume, air change rates, installation, maintenance, and other factors we cannot assess from here. Nothing on this site is engineering advice for your specific building, and it does not replace the judgement of a qualified professional.

Limitation of liability

To the fullest extent the law allows, Ginkgo is not liable for indirect, incidental, consequential, or economic loss arising from your use of this site or the assets, including lost profits, project delay costs, rework, or loss of data.

Where liability cannot be excluded, our total liability arising from the site and the asset library is limited to CAD $100.

Nothing here excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot be excluded by law.

Consumer rights

If you use this site as a consumer rather than in the course of business, you may have statutory rights under the law of your country or province that cannot be excluded or limited by agreement. Nothing in these terms affects those rights. Where these terms conflict with a mandatory consumer protection provision that applies to you, that provision prevails.

Indemnity

If you use the assets outside the licence above and a third party brings a claim against us as a result, you will cover our reasonable costs and losses in defending it. This does not apply where the claim arises from our own breach or negligence.

Changes

We may update these terms. The revised version takes effect when posted, with the date at the top updated. Continuing to use the site after that means you accept the change. Changes do not apply retroactively to assets you downloaded under a previous version.

Governing law

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, though if mandatory law in your own country gives you the right to bring proceedings locally, these terms do not take that away.
